MENTOR ENGAGEMENT, EXCLUSIVITY & CONFIDENTIALITY AGREEMENT
This Mentor Engagement, Exclusivity & Confidentiality Agreement (“Agreement”) is entered into on the date of electronic acceptance 21 July 2026
BY AND BETWEEN
The Career Company (“TCC”), an organisation engaged in structured career education, mentorship, training, and capability-building programs for students and professionals across academic institutions and enterprises in India
AND
The individual mentor enrolling on the TCC platform (“Mentor”).
1. BACKGROUND, PURPOSE & GOOD-FAITH INTENT
- 1.1 TCC operates as a career-education and capability-building platform, working with universities, institutions, and learners to help individuals make informed career decisions and build role-specific skills through structured teaching, training, mentoring, and coaching.
- 1.2 The Mentor is onboarded solely for the purpose of teaching, training, mentoring, and coaching, including:
- sharing professional experience in a general, non-confidential manner,
- helping students improve career readiness, skills, and decision-making,
- supporting structured learning journeys designed by TCC.
- 1.3 The Parties expressly acknowledge that:
- this engagement is educational in nature,
- it does not involve recruitment, hiring, consulting, advisory mandates, or commercial decision-making for any client,
- it is intended as a good-faith, knowledge-sharing engagement contributing to student development and career clarity.
- The Parties recognise that this engagement is intended to create a trusted mentor ecosystem committed to student development and responsible knowledge sharing
- 1.4 This Agreement is entered into in mutual trust and good faith, and both Parties agree to act honestly, responsibly, and in alignment with the spirit of the engagement.
2. NATURE OF ENGAGEMENT
- 2.1 The Mentor confirms that this engagement:
- is non-exclusive employment-wise,
- does not interfere with the Mentor’s primary employment,
- does not involve rendering services to TCC’s clients in any operational, commercial, or decision-making capacity.
- 2.2 The Mentor’s role is strictly limited to:
- teaching,
- coaching,
- mentoring,
- training,
- academic or career skill development
- 2.3 TCC does not require, request, or encourage:
- sharing of employer confidential information,
- disclosure of trade secrets,
- discussion of proprietary strategies, pricing, clients, or internal practices of the Mentor’s employer.
3. EMPLOYER CONSENT & AUTHORISATION
- 3.1 The Mentor represents and warrants that:
- they have obtained all necessary approvals, consents, or internal permissions (if required) from their current employer to participate in external teaching, mentoring, or training activities, and
- this engagement does not violate any employment contract, code of conduct, or internal policy applicable to them.
- 3.2 The Mentor further confirms that TCC is authorised to:
- List the Mentor’s name, photograph, designation, professional background, and mentor profile on the TCC platform and related institutional materials
- Represent the Mentor as part of the TCC mentor ecosystem to academic institutions, learners, and partner organisations
- Use session photographs, excerpts of teaching contributions, or program participation references for academic documentation, program communication, and platform representation, provided such use remains accurate and professional.
4. STRICT EXCLUSIVITY WITH COMPETING TRAINING PLATFORMS
- 4.1 During the term of this Agreement, the Mentor shall not engage, directly or indirectly, with any:
- training,
- coaching,
- career development,
- placement preparation,
- mentorship platform,
that is a direct or indirect competitor of TCC, in a similar or overlapping capacity.
- 4.2 This restriction applies irrespective of:
- compensation,
- platform,
- medium,
- personal brand or institutional association.
- 4.3 The Mentor may continue their primary employment, academic teaching, or internal corporate training for their employer, provided such activities are not competing career-platform engagements.
- 4.4 For the purpose of this Agreement, “Competitor” shall mean any organisation primarily engaged in structured career coaching, placement preparation, mentorship platforms, or similar services targeting students or professionals in a manner substantially similar to the services offered by TCC.
5. COMMUNICATION & NON-SOLICITATION
- 5.1 The Mentor shall not independently contact, email, message, call, or engage any:
- TCC student,
- institutional client,
- university representative,
- professor,
- placement team,
- corporate partner,
for selling, offering, or promoting their own services, products, or engagements.
- 5.2 All communication with students or clients connected to TCC shall be:
- routed through TCC,
- conducted with TCC formally looped in,
- aligned with the defined scope of teaching and mentoring.
- 5.3 Any direct outreach outside this framework shall be treated as a material breach.
6. CONFIDENTIALITY, DATA & PLATFORM LOYALTY
- 6.1 The Mentor shall maintain strict confidentiality of:
- TCC’s pricing,
- program structures,
- modules,
- pedagogy,
- client list,
- student data,
- internal processes and learning design.
- 6.2 If any third party, including a competing organisation, approaches the Mentor seeking:
- TCC trade secrets,
- program details,
- pricing,
- client information,
- teaching practices,
the Mentor shall decline such requests and shall not disclose any such information.
- 6.3 The Mentor acknowledges that they are considered a trusted part of the TCC ecosystem, and loyalty to the platform’s confidentiality is fundamental to this relationship.
7. CONTENT, DECKS & IP
- 7.1 All content prepared or delivered during TCC engagements shall:
- be generic and educational,
- avoid confidential employer data,
- avoid client-specific or proprietary information.
- 7.2 The Mentor confirms that:
- no employer trade secrets,
- no confidential sector data,
- no internal metrics or client information,
shall be included in any session or material.
- 7.3 All structured materials created specifically for TCC programs shall be treated as intellectual property of TCC.
The Mentor remains free to use their general professional knowledge, experience, and insights, provided that TCC program formats, session structures, modules, learning journeys, or proprietary frameworks are not replicated or reproduced independently.
8. NO RECRUITMENT, NO HIRING EXPECTATION
- 8.1 TCC does not expect or request that Mentors:
- recruit,
- hire,
- influence hiring,
- facilitate placements,
for any TCC client or institution.
- 8.2 If any institution or student independently approaches the Mentor for hiring:
- such interaction shall be treated as independent,
- governed solely by the Mentor’s employer policies,
- not represented as TCC-facilitated.
- 8.3 TCC explicitly communicates the same boundaries to its clients.
9. STUDENT HIRING THROUGH FORMAL CHANNELS
- 9.1 If the Mentor wishes to hire a student they have interacted with through TCC:
- the Mentor shall inform TCC,
- TCC shall facilitate the process through the institution’s formal placement mechanism.
- 9.2 Direct outreach to students for hiring is strictly prohibited, as it may violate institutional one-offer or placement policies.
10. TERM, TERMINATION & SURVIVAL
- 10.1 This Agreement remains effective until terminated by either Party.
- 10.2 Confidentiality, non-solicitation, exclusivity, and IP obligations shall survive termination.
11. GOVERNING LAW
This Agreement shall be governed by the laws of India, with exclusive jurisdiction at Vadodara, Gujarat.
12. OPPORTUNITY FLOW, VOLUNTARY PARTICIPATION & COMMITMENT
- 12.1 TCC may periodically share mentoring, training, or teaching opportunities (“Opportunities”) with the Mentor, detailing:
- the nature of engagement,
- expected contribution,
- time commitment,
- learner profile.
- 12.2 The Mentor’s participation in any Opportunity is entirely voluntary.
- 12.3 The Mentor is expected to:
- review the Opportunity details carefully,
- volunteer only if aligned with their expertise, availability, and interest.
- 12.4 Final confirmation of an Opportunity shall be subject to client or institutional approval of the Mentor’s profile, where applicable.
- 12.5 Once the Mentor has:
- voluntarily confirmed participation, and
- received final confirmation from TCC,
- student expectations,
- institutional schedules,
- professional courtesy for all parties.
the Mentor shall honour the commitment, including attendance at the agreed time and format, in recognition of:
- 12.6 Repeated last-minute cancellations or non-attendance without valid cause may be treated as a breach of professional responsibility.
TCC does not mandate or compel participation in any session or program.
13. ADDITIONAL STUDENT REQUESTS & FACILITATED ENGAGEMENTS
- 13.1 If any student, learner, or participant associated with TCC reaches out to the Mentor for:
- additional sessions,
- extended mentoring,
- assignments,
- career guidance beyond the scheduled engagement,
the Mentor shall promptly inform TCC.
- 13.2 The Mentor shall not independently accept any such request without prior coordination with TCC.
- 13.3 Where feasible and appropriate, TCC may:
- structure an additional session,
- formalise the engagement,
- align it with institutional or platform norms.
- 13.4 This ensures:
- transparency,
- protection of institutional policies,
- fairness to students,
- and continuity of learning quality.
14. NON-REPLICATION & PROTECTION OF TCC FORMATS AND MODULES
- 14.1 The Mentor acknowledges that TCC’s:
- program formats,
- session structures,
- learning journeys,
- assessment frameworks,
- pedagogical models,
- content sequencing and design,
constitute proprietary intellectual property of TCC, developed through significant institutional learning and platform experience.
- 14.2 The Mentor shall not replicate, reproduce, adapt, copy, or substantially derive:
- similar modules,
- look-alike programs,
- structured offerings,
for use on any other platform, organisation, or personal initiative.
- 14.3 This restriction applies regardless of:
- format (online/offline),
- audience,
- commercial or non-commercial intent.
- 14.4 General professional knowledge and experience remain with the Mentor; however, structured formats and programmatic designs unique to TCC are expressly protected.
15. SOCIAL MEDIA, PUBLIC COMMUNICATION & BRAND ALIGNMENT
- 15.1 Mentors are encouraged to share their professional experiences and contribute to the broader ecosystem through responsible public communication.
- 15.2 However, any public communication referring to:
- TCC programs
- partner institutions
- student cohorts
- program content, outcomes, or learning experiences
including LinkedIn posts, articles, videos, testimonials, or social media mentions, shall require prior approval from TCC.
- 15.3 This requirement exists because several partner institutions operate under formal PR and communication guidelines, and external communication must align with their institutional policies.
- 15.4 TCC will actively support the Mentor’s personal branding and thought leadership, and where appropriate, may collaborate with mentors to publish posts, articles, or insights that highlight their expertise and contribution to the ecosystem.
- 15.5 The intent of this clause is to protect the interests of partner institutions, students, and mentors, while ensuring communication remains accurate, responsible, and aligned with institutional expectations.
16. SESSION RECORDING & EDUCATIONAL USE
- 16.1 TCC or its partner institutions may record mentoring, training, or teaching sessions for purposes including academic documentation, program continuity, and learning support for students.
- 16.2 Such recordings may be used within TCC’s educational programs, learning platforms, institutional modules, or internal academic archives.
- 16.3 The Mentor consents to such recording and educational use, provided the content isnot misrepresented or used in a misleading manner.
17. NON-CIRCUMVENTION OF INSTITUTIONAL RELATIONSHIPS
- 17.1 The Mentor shall not independently pursue commercial engagements with institutions, universities, or partner organisations introduced through TCC for services substantially similar to those delivered under TCC programs.
- 17.2 If such opportunities arise, the Mentor shall inform TCC so that the engagement may be structured appropriately in alignment with institutional agreements and program commitments.
18. PROFESSIONAL CONDUCT
- 18.1 The Mentor shall conduct all mentoring, training, and teaching interactions with students in a professional, respectful, and responsible manner.
- 18.2 Mentors shall avoid:
- inappropriate communication
- discriminatory remarks
- personal solicitation
- behaviour inconsistent with the educational purpose of the engagement.
- 18.3 TCC reserves the right to discontinue association in case of conduct inconsistent with the standards expected by partner institutions.
